Terms of Service

1. Parties and acceptance
These Terms of Service ("Terms") form a legal agreement between you ("Customer", "you") and Leading Logic Ltd, a company registered in England & Wales under company number 16977705, with its registered office at Level One, Basecamp, 49 Jamaica Street, Liverpool, Merseyside, L1 0AH, United Kingdom ("Leading Logic", "we", "us"). By creating an account or otherwise accessing the GeoData API ("Service"), you accept these Terms.
2. Commercial use
All paid GeoData plans — Starter, Professional, and Scale — may use GeoData API responses in commercial products, including products you sell to your own end customers. There are no per-tier licensing scopes; the paid tiers differ on volume, rate limits, and support, not on what you are allowed to do with the data.
The reasonable-use rules below apply to every paid plan. Free tier is for evaluation and prototyping only and is not for production workloads.
Caching
You may cache GeoData responses in your own systems for operational performance. The maximum cache period is 30 days from the original response date. Re-fetch at least every 30 days so you are not serving end users stale data. Enterprise plans may negotiate longer cache windows in the contract.
Attribution
Every API response includes a copyright field and a sources map containing attribution text for each underlying source (ONS, Land Registry, Police.uk, Ordnance Survey, and others). When you display GeoData-derived information to end users, please carry that attribution forward in a reasonable manner — a footnote, a small attribution line, a dedicated "Data sources" page, or similar. Displaying the copyright field unmodified satisfies this requirement.
No thin-reseller data feeds
You may not expose GeoData responses as a standalone data feed or API that materially substitutes for a direct GeoData integration. Embedding data inside your product for your customers to see and use is fine; reselling the raw feed — or a product whose primary value is the unmodified GeoData — requires an Enterprise contract.
No bulk extraction outside normal API use
No scraping, automated extraction, or bulk export beyond what the API returns per request within your plan's volume limits. If you need bulk data export for a specific use case, talk to us about an Enterprise agreement.
3. Upstream source terms
Several underlying sources carry their own licence terms (Ordnance Survey Open Government Licence, ONS Crown Copyright, Police.uk OGL, DfE OGL, Ofcom OGL, and others). GeoData's commercial-use grant does not exempt you from those upstream licences where they apply to your end use. The attribution text returned with each API response covers the attribution obligations of these sources when displayed.
4. Fees and payment
Paid plans are billed in advance via Stripe at the price shown on the pricing page at the point of subscription. Listed prices are exclusive of VAT; VAT is added at checkout where applicable. If you exceed the included monthly volume on a paid plan and have enabled Spend Cap, overage usage is billed at the per-1,000-lookup rate published for your tier.
Failed payments are retried in line with our dunning policy. Persistent failure to pay may result in suspension or termination of the Service in accordance with section 6.
5. Service availability
We work hard to keep the Service available, but we do not guarantee uninterrupted availability on the standard self-serve plans. Negotiated uptime commitments and service credits are available on Enterprise contracts. Maintenance windows, force-majeure events, and customer-caused issues are not counted as downtime.
6. Term and termination
Termination for convenience
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your then-current billing period; we do not refund the unused portion of a paid period unless required by law.
We may terminate or materially change the Service for any reason on at least 30 days' written notice sent to your account email.
Termination for cause
Either party may terminate the Service immediately on written notice if the other party (a) materially breaches these Terms and fails to cure that breach within 14 days of receiving written notice of it, or (b) becomes insolvent or enters administration, liquidation, or an analogous process. We may additionally suspend or terminate the Service immediately if your use of the API threatens the security or integrity of the platform or other customers.
Effect of termination
On termination, API access ends, any outstanding fees become immediately payable, and we will delete personal data in accordance with our Privacy Policy and our legal-retention obligations within 30 days. Sections 2 (Commercial use — caching, attribution, redistribution restrictions, in respect of data already received), 3, 7, 8, 9, and 10 survive termination.
7. Limitation of liability
Subject to the carve-outs below, our total aggregate liability to you arising out of or in connection with these Terms or the Service — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — is capped at the greater of (a) the fees paid by you to Leading Logic in the twelve months preceding the event giving rise to the claim, or (b) £100.
We are not liable for any indirect, consequential, special, incidental, or punitive damages, or for any loss of profits, revenue, business opportunity, anticipated savings, goodwill, or data, however arising and even if foreseeable.
Nothing in these Terms limits or excludes either party's liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; (iii) any liability that cannot lawfully be limited or excluded under English law.
8. Indemnity
You agree to indemnify, defend, and hold harmless Leading Logic Ltd, its officers, employees, and agents from and against any third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in breach of these Terms; (b) your violation of any applicable law, including the upstream data-source licences referenced in section 3; (c) infringement of third-party rights by your application or by data you combine with GeoData responses; or (d) any product or service you offer to your own end customers using the Service.
9. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them or their subject matter are governed by, and construed in accordance with, the laws of England & Wales. The parties submit to the exclusive jurisdiction of the courts of England & Wales for any such dispute.
10. Enterprise scope
Enterprise contracts may extend or vary any of the above — longer cache windows, bulk export, custom redistribution rights, data-processing agreements, negotiated SLAs and service credits, custom liability caps, and so on. Where a signed Enterprise agreement conflicts with these Terms, the Enterprise agreement prevails.
11. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be notified to active customers by email at least 30 days before they take effect; continued use of the Service after the effective date constitutes acceptance of the updated Terms.
